By accepting a quote, placing an order, signing a work authorization, paying a deposit, or permitting Maple & Northwood Furniture Ltd. to begin work, you acknowledge that you have read, understood, and agreed to these Terms.
If you are using the Services on behalf of a business, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.
2. Scope of Services
Maple & Northwood Furniture Ltd. provides furniture-related services, which may include:
- Custom furniture design and build;
- Residential furniture delivery and assembly;
- Office and commercial furnishing;
- Space planning and furniture selection;
- Furniture repair and refinishing; and
- Upholstery and fabric replacement.
All services are subject to availability, project scope, site conditions, material availability, lead times, and acceptance by Maple & Northwood Furniture Ltd. Any estimates, drawings, mock-ups, renderings, measurements, schedules, or specifications are provided for planning purposes only and may be revised if site conditions, client instructions, product availability, or other material factors change.
Unless expressly stated in writing, any quote does not include permits, engineering, electrical work, plumbing, wall repair, painting, flooring repair, or other third-party services. Maple & Northwood Furniture Ltd. may subcontract portions of the Services where appropriate, while remaining responsible for coordination within the scope of its agreement with you, subject to these Terms and applicable law.
3. User Obligations and Responsibilities
You agree to:
- Provide accurate, complete, and current information, including contact information, delivery instructions, site measurements where applicable, and any relevant health, safety, or access requirements;
- Ensure that the premises are safe, accessible, and suitable for the Services, including adequate entry clearance, parking arrangements, elevator access, and protection of floors, walls, and fixtures as needed;
- Obtain any required permissions, approvals, strata/condominium consents, building access, or landlord approvals before work begins;
- Remove or secure fragile, valuable, or hazardous items from the work area unless otherwise agreed in writing;
- Inspect delivered, installed, repaired, or finished items promptly and notify Maple & Northwood Furniture Ltd. of any visible defects, damage, or discrepancies within a reasonable time;
- Use products and completed work in accordance with intended purpose and care instructions provided; and
- Comply with all applicable laws, regulations, and property rules in connection with the Services.
You are responsible for any damage, delay, extra costs, or loss arising from inaccurate information, inaccessible premises, unsafe conditions, or your failure to cooperate in a timely manner.
4. Payment Terms and Conditions
Unless otherwise agreed in writing, all prices are quoted in Canadian dollars (CAD) and are subject to applicable taxes, including GST, PST, or other taxes required by law. Quotes are valid for the period stated in the quote or, if no period is stated, for a reasonable time based on market conditions.
Payment terms may include, depending on the project:
- A non-refundable deposit before materials are ordered or work begins;
- Progress payments tied to milestones, materials procurement, or completion stages;
- Final payment upon completion, delivery, or installation; and
- Immediate payment for retail items, small jobs, or same-day services unless otherwise agreed.
Custom work may require substantial advance payment for materials, labour scheduling, and design time. If payment is not received when due, Maple & Northwood Furniture Ltd. may suspend work, delay delivery, withhold completion, retain possession of goods to the extent permitted by law, and charge interest on overdue amounts at the maximum rate permitted by applicable law or, if no rate is specified, at 1.5% per month (18% per annum) or the highest lawful rate, whichever is lower.
You are responsible for any bank charges, chargeback fees, collection costs, legal fees on a solicitor-and-client basis where permitted by law, and costs incurred in recovering overdue amounts. Ownership of goods may remain with Maple & Northwood Furniture Ltd. until payment is received in full, to the extent permitted by applicable law and subject to any required statutory rules.
5. Cancellation and Refund Policy
Cancellations and refund eligibility depend on the nature and stage of the project.
- Custom-made items: Orders for custom-designed or custom-built furniture, made-to-order upholstery, specialized finishes, or personalized services may be non-cancellable and non-refundable once production has started or materials have been ordered, except where required by law.
- Standard services: For non-custom services, you may cancel by providing reasonable notice. If cancellation occurs after scheduling, a cancellation fee may apply to cover time reserved, admin costs, and any non-recoverable expenses.
- Deposits: Deposits may be non-refundable to the extent they cover design work, planning, procurement, reserving labour, or purchasing materials.
- Material orders: Special-order materials, fabrics, hardware, finishes, and third-party products are not refundable once ordered, unless the supplier provides a refund and applicable law requires passing that refund to you.
If Maple & Northwood Furniture Ltd. cancels a service for reasons within its control and cannot reasonably reschedule or complete the work, any unused portion of amounts paid for undelivered services may be refunded, less any reasonable non-recoverable costs already incurred, to the extent permitted by law.
Claims for damaged or defective items must be submitted promptly after discovery, along with photographs and relevant details. Maple & Northwood Furniture Ltd. may, at its discretion and subject to applicable law, offer repair, replacement, rework, partial credit, or refund as an appropriate remedy.
6. Liability Limitations
To the maximum extent permitted by applicable law, Maple & Northwood Furniture Ltd., its directors, officers, employees, contractors, and agents will not be liable for:
- Indirect, incidental, special, punitive, exemplary, or consequential damages;
- Loss of profits, loss of revenue, loss of business opportunity, or loss of goodwill;
- Damage caused by improper use, misuse, neglect, normal wear and tear, environmental conditions, or unauthorized modifications;
- Damage resulting from third-party actions, site conditions, hidden defects, pre-existing damage, or inaccurate measurements provided by you or third parties;
- Delays caused by suppliers, shipping issues, customs, labour shortages, weather, or events beyond reasonable control; or
- Loss or damage to items left in the work area unless caused by proven gross negligence or wilful misconduct of Maple & Northwood Furniture Ltd.
To the extent liability cannot be excluded under applicable law, the total aggregate liability of Maple & Northwood Furniture Ltd. for any claim arising out of or relating to the Services will be limited to the lesser of: (a) the amount paid by you for the specific service giving rise to the claim; or (b) CAD $1,000, unless a different limit is required by law.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law, including liability for fraud, wilful misconduct, or any non-excludable consumer rights under Canadian law.
7. Intellectual Property Rights
Unless otherwise agreed in writing, all intellectual property rights in designs, concepts, drawings, specifications, estimates, proposals, photographs, renderings, prototypes, methods, templates, and other materials created by Maple & Northwood Furniture Ltd. remain the property of Maple & Northwood Furniture Ltd. or its licensors.
Upon full payment, you receive a limited, non-exclusive, non-transferable licence to use final deliverables solely for the intended personal or internal business purpose for which they were provided. You may not reproduce, distribute, adapt, sell, or use such materials for another project without the prior written consent of Maple & Northwood Furniture Ltd.
Any intellectual property that you provide to Maple & Northwood Furniture Ltd. remains yours. You grant Maple & Northwood Furniture Ltd. a non-exclusive licence to use such materials as reasonably necessary to perform the Services.
Maple & Northwood Furniture Ltd. may photograph completed work, subject to applicable privacy laws, for internal records, quality assurance, insurance, portfolio, and marketing purposes unless you object in writing before work begins or unless otherwise restricted by law or contract.
8. Data Protection and Privacy
Maple & Northwood Furniture Ltd. collects, uses, and discloses personal information only as reasonably necessary to provide the Services, manage customer relationships, process payments, schedule work, communicate project updates, maintain business records, comply with legal obligations, and, where permitted, market its services.

Maple & Northwood Furniture Ltd. will take reasonable administrative, technical, and physical safeguards appropriate to the sensitivity of the information and the nature of the business.
Where personal information is handled by third-party service providers such as payment processors, delivery partners, software providers, or subcontractors, Maple & Northwood Furniture Ltd. will use commercially reasonable efforts to ensure such parties are bound by confidentiality and appropriate privacy obligations.
By using the Services, you consent to the collection, use, and disclosure of your personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and any applicable provincial privacy legislation. If you have privacy questions or wish to request access to or correction of your information, contact Maple & Northwood Furniture Ltd. using the details below.
9. Force Majeure
Maple & Northwood Furniture Ltd. will not be liable for any failure or delay in performing its obligations to the extent such failure or delay is caused by events beyond its reasonable control, including but not limited to acts of God, fire, flood, extreme weather, earthquake, pandemic, epidemic, labour disputes, supply chain disruptions, transportation issues, power outages, civil unrest, war, terrorism, government orders, or the failure of suppliers or subcontractors due to such events.
In such circumstances, timelines will be extended for the duration of the force majeure event and a reasonable restart period. If the event continues for an extended period, either party may seek to reschedule or, where legally appropriate, terminate the affected portion of the Services by written notice.
10. Changes to Terms
Maple & Northwood Furniture Ltd. may update or modify these Terms from time to time to reflect changes in business practices, legal requirements, or service offerings. The updated Terms will be posted or otherwise made available to you, and the revised version will be effective on the date stated or, if no date is stated, upon posting.
Changes will not retroactively alter a signed agreement for services already accepted, unless required by law or mutually agreed in writing. Your continued use of the Services after the effective date of revised Terms constitutes acceptance of the updated Terms for future services.
11. Applicable Law and Jurisdiction
These Terms are governed by the laws of the Province of British Columbia and the applicable federal laws of Canada, without regard to conflict of law principles. You agree that any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the courts located in British Columbia, unless applicable law requires otherwise.
If you are a consumer, nothing in this section limits any rights or remedies that cannot be waived under applicable consumer protection legislation. The parties agree to first attempt in good faith to resolve disputes informally before commencing legal proceedings, except where urgent injunctive or equitable relief is necessary.
